Algemene Voorwaarden – FactuurWacht

Let op: deze algemene voorwaarden zijn van toepassing op het gebruik van de gratis factuurcheck-tool en het betaalde abonnement van FactuurWacht. Lees ze door vóór gebruik.

1. Definities

In deze Algemene Voorwaarden worden de volgende definities gehanteerd:

FactuurWacht: de exploitant van de website en dienst bereikbaar via factuurwacht.polsia.app.
Gebruiker: de natuurlijke of rechtspersoon die gebruikmaakt van de Dienst.
Dienst: de online factuurcheck-tool en eventuele betaalde abonnementsfuncties aangeboden via de website.
Gratis tool: de factuurcheck-functionaliteit die zonder abonnement beschikbaar is.
Abonnement: een betaald maandelijks abonnement dat toegang biedt tot uitgebreide functies van de Dienst.
Overeenkomst: de overeenkomst die tot stand komt op het moment dat de Gebruiker het Abonnement afsluit of de Dienst gebruikt.

2. Toepasselijkheid

2.1 Deze Algemene Voorwaarden zijn van toepassing op elk gebruik van de Dienst, inclusief de gratis tool en het betaalde abonnement.

2.2 Door gebruik te maken van de Dienst gaat de Gebruiker akkoord met deze Algemene Voorwaarden.

2.3 FactuurWacht behoudt zich het recht voor deze voorwaarden te wijzigen. Bij wezenlijke wijzigingen wordt de Gebruiker tijdig geïnformeerd.

3. De Dienst

3.1 Gratis factuurcheck

FactuurWacht biedt een gratis online tool waarmee Gebruikers hun facturen kunnen controleren op veelvoorkomende vereisten van Nederlandse facturen, zoals het BTW-nummer, KVK-nummer, IBAN, factuurdatum en betalingstermijn. De tool is beschikbaar zonder registratie of creditcard.

De gratis tool controleert op de aanwezigheid en het formaat van factuurvelden en geeft indicatieve resultaten. De resultaten zijn niet bindend en vormen geen juridisch advies.

3.2 Betaald abonnement

Het betaalde abonnement (€ 19 per maand, incl. btw) biedt aanvullende functies, waaronder:

Onbeperkte factuurchecks per maand
Automatische betalingsherinneringen
Dashboard met overzicht van openstaande en betaalde facturen
E-mailtemplates voor betalingsherinneringen
Uitgebreide rapportage

De beschikbare functies kunnen per plan variëren. Actuele plandetails zijn beschikbaar op de website.

4. Registratie en account

4.1 Voor gebruik van het betaalde abonnement is een account vereist. De Gebruiker is verantwoordelijk voor de juistheid van de verstrekte accountgegevens.

4.2 De Gebruiker is verantwoordelijk voor het vertrouwelijk houden van inloggegevens en voor alle activiteiten die plaatsvinden via het account.

4.3 FactuurWacht is niet aansprakelijk voor schade die voortvloeit uit ongeautoriseerd gebruik van het account van de Gebruiker.

5. Betaling en abonnement

5.1 Het abonnement wordt maandelijks automatisch verlengd tenzij de Gebruiker het abonnement opzegt vóór de verlengingsdatum.

5.2 De abonnementsprijs bedraagt € 19 per maand (inclusief btw). Eventuele prijswijzigingen worden minimaal 30 dagen van tevoren aangekondigd.

5.3 Betaling geschiedt via de aangeboden betaalmethoden. Bij niet-tijdige betaling behoudt FactuurWacht zich het recht voor de toegang tot het abonnement op te schorten.

5.4 Er wordt geen restitutie verleend voor al gefactureerde abonnementsperiodes, tenzij wettelijk vereist.

6. Opzegging

6.1 De Gebruiker kan het abonnement te allen tijde opzeggen, zonder opzegtermijn. De opzegging gaat in aan het einde van de lopende betaalperiode.

6.2 Na opzegging blijft de toegang tot het abonnement actief tot het einde van de betaalde periode.

6.3 FactuurWacht behoudt zich het recht voor het account te beëindigen bij misbruik of schending van deze voorwaarden.

7. Intellectuele eigendom

7.1 Alle intellectuele eigendomsrechten met betrekking tot de Dienst, inclusief software, ontwerp, teksten en logo's, berusten bij FactuurWacht of haar licentiegevers.

7.2 De Gebruiker verkrijgt uitsluitend een niet-exclusief, niet-overdraagbaar gebruiksrecht voor de Dienst overeenkomstig deze voorwaarden.

7.3 Het is de Gebruiker niet toegestaan de Dienst te kopiëren, reverse-engineeren, te distribueren of anderszins te exploiteren buiten het kader van normaal gebruik.

8. Gebruiksregels

Het is de Gebruiker niet toegestaan om:

De Dienst te gebruiken voor onrechtmatige doeleinden of in strijd met deze voorwaarden
De werking van de Dienst te verstoren, te onderbreken of te manipuleren
Geautomatiseerde toegang (scrapers, bots) te gebruiken zonder schriftelijke toestemming
Inloggegevens te delen met derden buiten de licentieomvang

9. Aansprakelijkheid

9.1 FactuurWacht stelt uitsluitend een hulpmiddel ter beschikking. De Dienst geeft indicatieve resultaten op basis van de ingevoerde gegevens. De resultaten vormen geen juridisch, fiscaal of boekhoudkundig advies.

9.2 FactuurWacht aanvaardt geen aansprakelijkheid voor beslissingen die de Gebruiker neemt op basis van de resultaten van de Dienst.

9.3 De totale aansprakelijkheid van FactuurWacht is in alle gevallen beperkt tot het door de Gebruiker in de afgelopen drie maanden betaalde abonnementsbedrag.

9.4 FactuurWacht is niet aansprakelijk voor indirecte schade, gevolgschade, gederfde winst of schade door verlies van gegevens.

9.5 De beperkingen in dit artikel gelden niet voor schade die het gevolg is van opzet of bewuste roekeloosheid van FactuurWacht.

10. Beschikbaarheid

10.1 FactuurWacht streeft naar een beschikbaarheid van de Dienst van minimaal 99% per maand, met uitzondering van geplande onderhoudsperiodes.

10.2 FactuurWacht is niet aansprakelijk voor schade als gevolg van tijdelijke onbeschikbaarheid van de Dienst door technische storingen, onderhoud of overmacht.

11. Privacy

De verwerking van persoonsgegevens door FactuurWacht is beschreven in het Privacybeleid. Door gebruik te maken van de Dienst gaat de Gebruiker akkoord met de verwerking zoals beschreven in dat beleid.

12. Wijzigingen in de Dienst

FactuurWacht behoudt zich het recht voor de Dienst, inclusief functies en prijzen, te wijzigen. Wezenlijke wijzigingen worden tijdig aan abonnementhouders gecommuniceerd. Indien een wijziging nadelig is voor de Gebruiker, heeft de Gebruiker het recht het abonnement kosteloos te beëindigen vóór de ingangsdatum van de wijziging.

13. Toepasselijk recht en geschillen

13.1 Op deze Algemene Voorwaarden en de Overeenkomst is uitsluitend Nederlands recht van toepassing.

13.2 Geschillen worden in eerste instantie bij voorkeur in overleg opgelost. Indien geen minnelijke schikking bereikt kan worden, is de bevoegde rechter in Nederland exclusief bevoegd.

1. Definitions

In these Terms of Service, the following definitions apply:

FactuurWacht: the operator of the website and service accessible via factuurwacht.polsia.app.
User: the natural or legal person using the Service.
Service: the online invoice check tool and any paid subscription features offered via the website.
Free tool: the invoice check functionality available without a subscription.
Subscription: a paid monthly subscription providing access to extended features of the Service.
Agreement: the agreement that comes into effect when the User takes out a Subscription or uses the Service.

2. Applicability

2.1 These Terms of Service apply to all use of the Service, including the free tool and the paid subscription.

2.2 By using the Service, the User agrees to these Terms of Service.

2.3 FactuurWacht reserves the right to amend these terms. Users will be notified in a timely manner of material changes.

3. The Service

3.1 Free invoice check

FactuurWacht provides a free online tool with which Users can check their invoices for common requirements of Dutch invoices, such as VAT ID, Chamber of Commerce number, IBAN, invoice date and payment term. The tool is available without registration or credit card.

The free tool checks for the presence and format of invoice fields and provides indicative results. The results are not binding and do not constitute legal advice.

3.2 Paid subscription

The paid subscription (€19 per month, incl. VAT) provides additional features, including:

Unlimited invoice checks per month
Automatic payment reminders
Dashboard with overview of outstanding and paid invoices
Email templates for payment reminders
Extended reporting

Available features may vary per plan. Current plan details are available on the website.

4. Registration and account

4.1 A paid subscription requires an account. The User is responsible for the accuracy of the account information provided.

4.2 The User is responsible for keeping login credentials confidential and for all activities that occur via the account.

4.3 FactuurWacht is not liable for damages arising from unauthorised use of the User's account.

5. Payment and subscription

5.1 The subscription is automatically renewed monthly unless the User cancels before the renewal date.

5.2 The subscription price is €19 per month (including VAT). Price changes will be announced at least 30 days in advance.

5.3 Payment is made via the available payment methods. In the event of late payment, FactuurWacht reserves the right to suspend access to the subscription.

5.4 No refunds are given for already-invoiced subscription periods, unless required by law.

6. Cancellation

6.1 The User may cancel the subscription at any time, without notice. Cancellation takes effect at the end of the current billing period.

6.2 After cancellation, access to the subscription remains active until the end of the paid period.

6.3 FactuurWacht reserves the right to terminate the account in case of misuse or breach of these terms.

7. Intellectual property

7.1 All intellectual property rights relating to the Service, including software, design, texts and logos, vest in FactuurWacht or its licensors.

7.2 The User obtains only a non-exclusive, non-transferable right of use for the Service in accordance with these terms.

7.3 The User is not permitted to copy, reverse engineer, distribute or otherwise exploit the Service beyond normal use.

8. Acceptable use

The User is not permitted to:

Use the Service for unlawful purposes or in violation of these terms
Disrupt, interrupt or manipulate the operation of the Service
Use automated access (scrapers, bots) without written permission
Share login credentials with third parties outside the licence scope

9. Liability

9.1 FactuurWacht provides a tool only. The Service provides indicative results based on the data entered. The results do not constitute legal, tax or accounting advice.

9.2 FactuurWacht accepts no liability for decisions made by the User based on the results of the Service.

9.3 FactuurWacht's total liability is in all cases limited to the subscription amount paid by the User in the preceding three months.

9.4 FactuurWacht is not liable for indirect damage, consequential damage, lost profits or damage due to loss of data.

9.5 The limitations in this article do not apply to damage caused by intent or deliberate recklessness of FactuurWacht.

10. Availability

10.1 FactuurWacht aims for a Service availability of at least 99% per month, excluding planned maintenance periods.

10.2 FactuurWacht is not liable for damage resulting from temporary unavailability of the Service due to technical failures, maintenance or force majeure.

11. Privacy

The processing of personal data by FactuurWacht is described in the Privacy Policy. By using the Service, the User agrees to the processing as described in that policy.

12. Changes to the Service

FactuurWacht reserves the right to modify the Service, including features and pricing. Material changes will be communicated to subscribers in a timely manner. If a change is detrimental to the User, the User has the right to terminate the subscription free of charge before the effective date of the change.

13. Governing law and disputes

13.1 These Terms of Service and the Agreement are governed exclusively by Dutch law.

13.2 Disputes will preferably be resolved amicably. If no settlement can be reached, the competent court in the Netherlands has exclusive jurisdiction.
